Exit Preparation

How often do you hear someone say we’re building our business to exit within 3 to 5 years as if it’s a simple and easy thing? There’s a science and perhaps a dark art to selling a business and so if you are considering selling yours in the future then this is the event for you. Companies should be ‘sold’, not just ‘bought’.

A well designed and well-executed exit strategy can create as much value as all the other work building shareholder value over the years. If you prepare in advance and manage the process in the right way you will almost certainly obtain a higher price for your business

In this session, we’ll discuss when to start planning and why it’s important to start earlier than you think.

We’ll look at the importance of having a clearly defined USP to create strategic value for a buyer. Focussing on this feature and strengthening it is crucial. Don’t be distracted by non-core activities – they are unlikely to add value to your business.

We’ll touch on building recurring revenues, reducing risk by spreading your customer and product base and reducing reliance on a few key customers.

We’ll move on to look at reducing reliance on the founder/CEO. Ensuring there are other senior leaders in your team capable of running the business and taking it forward without you being around longer term and how to incentivise them so that they are focussed on increasing the value of the business.

Finally, we’ll discuss key things to watch out for like dodgy clauses (liquidity preference, tag along, drag along etc) in your investor or shareholder agreements, documentation of processes and budgeting/financial reporting.
